I like the first one...it's more formal. The second one looks a bit night club-ish. It may also bring more attention to the area you're not wanting to accentuate.
 
If youre going to a wedding, you might want to ask about wearing black. I know lots of brides find it rude to wear solid black or solid white to a wedding. So just in case, before you buy a black dress, you might ask the bride if she would find it offensive.

You NEED no boobs to pull off a dress like that!!! If you have boobs in that dress ya look like a hooker!!!
 
I really like the first picture that you posted. I think it would look nice for your body shape/size. Places like Penney's, Kohls, TJ Maxx, Steinmart and Marshalls have really good deals on party dresses - especially in their clearance sections. I have two really cute party dresses that I found for about $20 each over a year ago, but I've never had an occasion to wear them. It just so happens that I'll be attending two weddings in the next month, so guess what I'll be wearing.

I'm with you on the heels. I hate them. DH doesn't understand why I refuse to wear them. I found a compromise with some sandals that have 1-1.5" heels. They're not flats, but I don't twist my ankle trying to walk.
